General Terms of Sale

Article 1 – General Conditions

These General Terms of Sale govern the commercial relationship between Cristofari Ceramiche S.r.l. (hereinafter the “Seller”) and its Customers, and are supplemented by the order confirmation signed by the parties, as well as by the provisions of the Italian Civil Code and, where applicable, the Italian Consumer Code.

Article 2 – Subject of the Contract

The contract covers the sale and supply of the goods set out in the order confirmation signed in acceptance by the Customer, including the relevant technical and quantity specifications.

Article 3 – Formation of the Contract

The contract is validly concluded and becomes effective when the Seller receives the order confirmation signed in acceptance by the Customer, with no further formality required.

Article 4 – Orders

The order submitted by the Customer constitutes an irrevocable contractual offer under the applicable law. The Seller nevertheless retains full discretion as to its acceptance, including partial acceptance.

Article 5 – Prices and Payment

Prices are ex works and exclude VAT, duties, stamp duty and any other tax charge, which remain entirely payable by the Customer. Payment methods and terms are those set out in the order confirmation.

Article 6 – Late Payment

In the event of late payment, up to 30 days from the due date, default interest accrues as provided for by Italian Legislative Decree no. 231/2002. Failure to pay beyond that period entitles the Seller to seek termination of the contract, without prejudice to compensation for any further damage.

Article 7 – Delivery

The delivery times indicated are purely indicative and non-binding, with a tolerance of 60 days from the date communicated. Delivery is ex works; any additional transport or delivery arrangements entail costs payable by the Customer.

Article 8 – Complaints

Any defects or non-conformities in the goods must be reported to the Seller within 8 days of delivery, by registered letter with return receipt or by certified email (PEC), failing which the right to complain lapses.

Article 9 – Faults and Defects

Once the complaint is found to be well founded, the Seller shall replace the defective material within 8 days of its discovery. For Customers qualifying as consumers, the statutory warranty of conformity provided for by the Italian Consumer Code remains in force for a period of two years from delivery of the goods.

Article 10 – Solve et Repete Clause

The Customer may not suspend or withhold, in whole or in part, payments due on account of complaints relating to the goods, even where such complaints have been validly and promptly submitted under Article 8.

Article 11 – Seller’s Right of Withdrawal

The Seller reserves the right to withdraw from the contract at any time prior to its performance, including on the basis of its own independent commercial and credit assessments concerning the Customer, by giving written notice.

Article 12 – Retention of Title

Title to the goods passes to the Customer only upon full payment of the relevant price. In the event of non-payment or partial payment, the Seller is entitled to terminate the contract and obtain the return of the goods delivered.

Article 13 – Jurisdiction

Any dispute concerning the interpretation, validity and performance of the contract that has not been settled amicably within 30 days shall fall under the exclusive jurisdiction of the Court of Rome, without prejudice to mandatory consumer protection provisions.

Article 14 – Privacy

Personal data provided by the Customer is processed in accordance with Italian Legislative Decree 196/2003 and Regulation (EU) 2016/679 (GDPR). For further information, please refer to the privacy notice available on the site.
